1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and PrompX, LLC. ("PrompX," "we," "us," or "our") regarding your access to and use of our website, services, and any related applications (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use our Services.

These Terms apply to all visitors, users, and others who access or use the Service. By using the Service, you represent and warrant that you have the legal capacity to enter into a binding contract with us. If you are using the Services on behalf of an entity, organization, or company, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Services Provided

PrompX provides B2B appointment setting, lead generation, and sales development services. We utilize a combination of human expertise and advanced technology to identify potential prospects, initiate contact, and schedule meetings on behalf of our Clients. The specific scope of services, including deliverables, timelines, and fees, will be detailed in a separate Service Agreement or Statement of Work signed by both parties.

We strive to provide accurate and up-to-date information, but we cannot guarantee the accuracy, completeness, or reliability of any data or leads provided. We do not guarantee specific results, such as a certain number of closed deals or revenue generated, as these outcomes depend on various factors beyond our control.

3. Acceptable Use

You agree to use our Services only for lawful purposes and in accordance with these Terms. You agree not to use our Services:

  • In any way that violates any applicable federal, state, local, or international law or regulation.
  • To harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate based on gender, sexual orientation, religion, ethnicity, race, age, national origin, or disability.
  • To transmit, or procure the sending of, any advertising or promotional material, including any "junk mail," "chain letter," "spam," or any other similar solicitation, without our prior written consent.
  • To impersonate or attempt to impersonate PrompX, a PrompX employee, another user, or any other person or entity.
  • To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Services, or which, as determined by us, may harm PrompX or users of the Services or expose them to liability.

4. Intellectual Property

The Service and its original content (excluding Content provided by users), features, and functionality are and will remain the exclusive property of PrompX and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of PrompX.

You retain ownership of any data or content you provide to us for the purpose of the Services ("Client Data"). You grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and display Client Data solely for the purpose of providing the Services to you.

5. Payment and Fees

Fees for our Services are set forth in the applicable Service Agreement. Unless otherwise agreed, invoices are due and payable within thirty (30) days of the invoice date. Late payments may be subject to interest at the rate of 1.5% per month or the maximum rate permitted by law, whichever is less.

You are responsible for all taxes, duties, and other governmental charges associated with the Services, except for taxes based on PrompX's net income. We reserve the right to suspend or terminate Services if any fees remain unpaid after the due date.

6. Confidentiality

Each party agrees to maintain the confidentiality of any proprietary or confidential information received from the other party during the term of the engagement. This includes, but is not limited to, business plans, customer lists, technical data, and pricing information. The receiving party agrees not to use the confidential information for any purpose other than to perform its obligations under these Terms and not to disclose the confidential information to any third party without the disclosing party's prior written consent, except as required by law.

7. Limitation of Liability

In no event shall PrompX, its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Service; (ii) any conduct or content of any third party on the Service; (iii) any content obtained from the Service; and (iv) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.

8. Termination

We may terminate or suspend your access to our Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Service will immediately cease.

You may terminate the Services in accordance with the termination provisions set forth in your Service Agreement. Survival provisions of the Service Agreement and these Terms shall survive termination.

9. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will maximize efforts to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Service.
